1. Definitions

"Introduced Client" means any entity or person whose identity Broker discloses to Operator or who contacts Operator through Broker's platform or materials about a potential or actual job.

2. Obligations

2.1 For 12 months from the later of the Effective Date or the last delivery to an Introduced Client, Operator must not, without Broker's written consent, solicit or supply services to any Introduced Client or their subsidiaries, except via Broker.

2.2 No use of Broker confidential information except to perform the job.

3. Carve-outs

3.1 Pre-existing clients are excluded if Operator notifies Broker in writing within 7 days of joining and provides dated evidence.

4. Remedies

4.1 Liquidated damages: 20% of the total value of any circumvented engagement, minimum £1,000, plus reasonable enforcement costs.

4.2 Injunctive relief is available.

5. Audit

5.1 On reasonable notice, Operator will provide records limited to verifying compliance with this Agreement.

6. Referral Exceptions

6.1 Broker may consent to direct engagement subject to a 10% referral fee on all fees earned from that introduction for 12 months.

7. General

7.1 No third-party rights. Notices by email are valid when sent.

This non-circumvention agreement is effective as of the date stated at the top of this page. Any breach of this agreement may result in liquidated damages and injunctive relief as outlined in Section 4.
