1. Scope
1.1 We operate a marketplace connecting customers ("Client") with independent CAA-certified drone operators ("Operator").
1.2 Default model: Operator is the UAS operator of record.
1.3 Exception: if no Operator is available at the agreed budget, we may act as operator of record. We will notify you in writing if so and our ops/insurance will apply.
1.4 You contract with SKYKAM LTD for brokerage, project admin, and payment handling.
2. Orders and Quotes
2.1 You submit a brief. We issue a Quote valid for 30 days. Prices exclude VAT unless stated.
2.2 Acceptance occurs when you approve the Quote and pay the deposit in Clause 6.
2.3 We may allocate or substitute a vetted Operator.
3. Deliverables and Acceptance
3.1 Deliverables are defined in the Statement of Work (SOW).
3.2 We deliver files after balance payment per Clause 6.
3.3 You have 5 Business Days to test against the SOW. Report defects with evidence.
3.4 If confirmed, remedy is re-fly or partial refund at our discretion.
3.5 No response within 5 Business Days = deemed acceptance.
4. Client Responsibilities
4.1 Accurate site details, hazards, inductions, and access.
4.2 Landowner permissions unless SOW states we/Operator will obtain them.
4.3 Site rules and a competent escort where needed.
5. Operator Responsibilities
5.1 Operator (not us) is responsible for RAMS, permissions, NOTAM/FRZ approvals, and flight compliance under UK (retained) Reg. 2019/947 and the Air Navigation Order 2016.
5.2 Minimum insurance: £5m public liability or higher if the SOW requires.
5.3 If we act as operator of record (Clause 1.3), we assume these responsibilities for that job.
6. Fees and Payment
6.1 20% deposit on acceptance for mobilisation. 80% balance after data capture but before file delivery. Bank transfer only to the company account stated on our invoice.
6.2 Variations require a written change order and may change price and timelines.
6.3 Late payment interest: 8% p.a. over Bank of England base rate plus reasonable recovery costs.
6.4 All amounts are consideration for services and are not client money or trust funds.
7. Cancellations and Access
7.1 Before Operator acceptance: 0% fee (full refund of deposit).
7.2 After Operator acceptance: 50% of deposit for scheduling/admin.
7.3 <24 hours before flight and mobilisation started: 75% of project price due.
7.4 Access denied on the day for Client-dependent reasons counts as Client cancellation under 7.3.
8. Weather and ATC
8.1 Weather or ATC denial: reschedule at the earliest safe slot. No liability for delay.
9. Intellectual Property
9.1 On full payment and acceptance, we assign deliverable IP to you as stated in the SOW.
9.2 Raw data may be retained by the Operator unless SOW states transfer.
9.3 We may use anonymised outputs for portfolio and marketing unless you opt out in writing before delivery.
10. Platform Rules
10.1 No solicitation of Operators introduced by us for 12 months from introduction, except with our written consent.
10.2 No unlawful or harmful content.
11. Liability
11.1 We are not liable for flight incidents or regulatory breaches by an independent Operator.
11.2 Our aggregate liability for any 12-month period is capped at fees paid by you for the project giving rise to the claim.
11.3 We exclude indirect, consequential, data loss, and loss of profit.
11.4 Nothing limits liability for fraud or death/personal injury caused by negligence.
12. Consumers (if you are not buying for business)
12.1 Your statutory rights under the Consumer Rights Act 2015 remain unaffected.
12.2 Distance contracts: you have a 14-day cancellation right under the Consumer Contracts Regulations 2013 unless you ask us to start within that period. If you ask us to start early, you pay reasonable costs up to cancellation; if services complete within the 14 days, the right to cancel ends.
13. Data Protection
13.1 We are controller for marketplace data. See our Privacy Policy.
13.2 Operators are independent controllers for flight operations data.
14. Anti-bribery, Sanctions, Modern Slavery
14.1 You and we will comply with applicable anti-bribery, sanctions, and modern slavery laws.
15. Termination
15.1 We may suspend or terminate for material breach or suspected fraud. Accrued rights survive.
16. General
16.1 Force majeure applies.
16.2 Assignment allowed, including on change of control.
16.3 Notices by email are valid when sent.
16.4 No third-party rights.
16.5 Governing law and forum: Scotland.
16.6 We may update these Terms prospectively. The current version applies to new orders.
